We have a long track-record of using an integrated team approach to successfully assist companies in e-commerce and technology matters. Our business acumen and knowledge of technology and the internet provides a valuable base through which we deliver a multifaceted approach to navigating through the complex legal and business issues that arise in connection with companies realizing the full potential of technology and the internet.

We represent the full life-cycle of technology companies from start-up to maturity. We also represent traditional companies in their efforts to provide or use technology and the internet in the course of their businesses. This broad client base allows our E-Commerce & Technology Group to view the technology and internet industries from various perspectives, which enables us to better understand and serve our clients’ needs.

Our E-Commerce & Technology Group has represented clients in raising capital, joint ventures, technology transfer agreements, technology licensing arrangements, and development and distribution agreements. We have also drafted and negotiated license agreements, including software licenses, source code escrow agreements, software development agreements, maintenance and support agreements, equipment leases, and OEM agreements.

Our E-Commerce & Technology Group advises clients on all aspects of developing and operating a web site on the internet. This includes domain name acquisitions and transfers, hosting agreements, data and content licenses, and hyperlinking and affiliates agreements. We also draft terms and conditions of use, browse-wrap and click-wrap agreements, privacy policies, and security policies.

We also assist our clients in tailoring their employment practices and policies to protect their intellectual property, trade secrets and other confidential information, and to carefully establish formal policies governing the use of information technology and the internet.

Our E-Commerce & Technology Group has successfully represented our clients in the defense of their intellectual property from claims of misappropriation and infringement, as well as in the enforcement of their rights against the misappropriation and infringement of their intellectual property. We have also represented our clients in a number of forms of litigation in connection with the internet and domain names, including cybersquatting, domain testing, and domain kiting.
